TERMS OF ENGAGEMENT

How engagements are contracted.

A plain-language summary of the standard terms. Every engagement is governed by a signed statement of work, which takes precedence over this page. Last updated September 2026.

Scope and price

Every engagement is defined in a written statement of work setting out the outcome, what is in and out of scope, the fixed price, and the timetable. Changes to scope are agreed in writing before they're worked on.

Payment

Fixed-price work is typically invoiced 50% on commencement and 50% on completion; retainers monthly in advance. Payment terms are 14 days. Expenses are charged at cost and agreed in advance.

Intellectual property

On payment, you own everything built specifically for you. We retain rights in our pre-existing tools, methods and know-how, and may reuse general learning that doesn't identify you or your data.

Confidentiality

Mutual confidentiality applies from the first conversation and survives the engagement. We don't name clients or share results without written permission.

Data protection

Where we process personal data on your behalf we act as processor under your instructions, and a data-processing agreement forms part of the statement of work.

Conflicts

We will tell you before starting if we hold an investment, board or advisory position that could conflict with the work, and we won't advise two parties on the same transaction.

Liability

Liability is capped at the fees paid under the relevant statement of work, excluding matters that can't be limited by law. Professional indemnity insurance is held; details on request.

Governing law

England and Wales.

An honest read, within a week.

The first conversation is free and takes under an hour. If there's an engagement worth having you'll leave knowing its shape and its price — and if there isn't, I'll say so.
